These Terms and Conditions (“Terms”) govern your access to and use of InventoryPro, including its inventory management tools, point-of-sale (POS) system, sales recording features, stock management, business reporting, customer and supplier management, financial tracking, and other related services.
By registering an account, accessing the platform, purchasing a subscription, or using any of its features, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the platform.
For the purposes of these Terms:
– “Platform” means the Inventory and POS software, website, application, and related services.
– “Operator” means the company or individual responsible for providing and managing the platform.
– “User” means any individual who accesses or uses the platform.
– “Business Account” means an account created to manage a business, shop, warehouse, branch, or other commercial operation.
– “Business Data” means information entered or generated through the platform, including inventory records, sales, purchases, customer records, supplier details, expenses, and reports.
– “Subscription” means a paid or free plan that determines the features and usage limits available to a user.
You must have the legal capacity to enter into a binding agreement to use the platform. If you register on behalf of a business or organization, you confirm that you have the authority to bind that entity to these Terms.
You agree to provide accurate, complete, and current information during registration and to update it when necessary.
You are responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account. You must promptly notify the Operator if you suspect unauthorized access, misuse, or a security breach involving your account.
If your plan allows you to create accounts for staff, cashiers, managers, or other team members, you are responsible for assigning appropriate permissions and ensuring that those users comply with these Terms.
The platform provides digital tools to help businesses manage their inventory, sales, and day-to-day operations. Depending on the features enabled and your subscription plan, services may include:
– Product and stock management.
– Point-of-sale transactions and receipt generation.
– Purchase, supplier, and customer records.
– Branch, warehouse, and stock transfer management.
– Sales summaries, financial reports, and profit-and-loss analytics.
– Customer debt and payment tracking.
– Staff accounts and role-based access.
– Business expenses and operational records.
– Offline sales functionality, where supported.
– Other tools made available by the Operator from time to time.
The availability of individual features may depend on your subscription, configuration, device, internet connection, or other technical requirements.
Some platform features may require a paid subscription. The features, limits, duration, and applicable fees for each plan will be communicated before purchase.
You agree to pay all subscription fees and other charges disclosed to you at the time of purchase. Applicable taxes, payment processing fees, or additional service charges will be identified where relevant.
Where a subscription renews automatically, the renewal terms and billing frequency will be disclosed during purchase or activation. You are responsible for managing cancellation in accordance with the available account or subscription settings.
If a payment fails, the Operator may notify you and request that you update your payment details. Continued non-payment may result in restricted access, suspension, or termination of paid features, subject to applicable law and the terms communicated for your plan.
The Operator may revise subscription prices or plan features. Where required, notice will be provided before changes apply to an existing subscription.
Refund eligibility will be governed by the refund terms disclosed at the time of purchase and applicable law. Unless required by law or expressly stated otherwise, payments for periods already used may be non-refundable.
You agree to use the platform only for lawful business and operational purposes. You must not:
– Use the platform to engage in fraud, theft, money laundering, or other unlawful activities.
– Upload false, misleading, unlawful, or unauthorized information.
– Attempt to access another user’s account or business data without permission.
– Interfere with the security, availability, or performance of the platform.
– Introduce malware, malicious code, or other harmful material.
– Reverse-engineer, copy, resell, or exploit the platform except as permitted by law or with written authorization.
– Circumvent subscription limits, access controls, or security measures.
– Use the platform in a manner that infringes another person’s rights.
The Operator may investigate suspected violations and take reasonable measures to protect the platform, its users, and affected third parties.
Subject to applicable third-party rights, you retain your rights to the business information and content you submit to the platform. You grant the Operator permission to host, process, transmit, back up, and use that information as reasonably necessary to provide, maintain, secure, and improve the services.
You are responsible for ensuring that product information, stock quantities, selling prices, purchase costs, sales, payments, expenses, customer balances, and other records entered into the platform are accurate.
You should regularly reconcile platform records against physical stock, cash balances, bank statements, payment processor records, and other relevant business documents. The platform is a management tool and does not replace your own accounting, audit, or reconciliation procedures.
Where data export or backup features are available, you are responsible for making and retaining copies of important business records. The Operator will take reasonable measures to protect stored information but does not guarantee that data loss can never occur.
You acknowledge that deleting records or closing an account may affect your ability to retrieve business information. You should export any records you need before deletion or account closure, where export is available.
You are responsible for ensuring that sales are properly recorded and that products, prices, discounts, taxes, payment methods, and refunds are entered correctly.
If the platform integrates with third-party payment providers, the processing of payments may also be governed by the relevant provider’s terms and policies. The Operator does not control external payment networks and cannot guarantee their uninterrupted availability.
Reports, balances, margins, debts, expenses, and profit-and-loss summaries are generated from the information available in your account and the platform’s configured calculation rules. You are responsible for reviewing the results and seeking professional accounting or tax advice where necessary.
Where offline sales are supported, some transactions may be recorded locally and synchronized when connectivity is restored. You are responsible for following the platform’s synchronization instructions and reviewing any failed, delayed, or conflicting records. Offline functionality may have limitations and should not be assumed to support every feature.
The Operator will make reasonable efforts to keep the platform available and functional. However, uninterrupted service cannot be guaranteed. Access may occasionally be affected by maintenance, software updates, connectivity issues, hosting failures, power outages, cyberattacks, third-party service interruptions, or other circumstances beyond the Operator’s reasonable control.
The Operator may update, modify, suspend, or discontinue features when reasonably necessary for maintenance, security, legal compliance, or service improvement. Where practicable, notice will be provided for material changes affecting users.
The platform may connect with third-party services, including payment gateways, messaging services, cloud hosting providers, accounting tools, or external software. These services may be subject to separate terms, fees, privacy policies, and availability conditions.
The Operator is not responsible for the independent operation of third-party services. Your use of them is subject to the relevant provider’s terms and applicable law.
The platform’s software, design, interface, branding, logos, documentation, and other materials owned or licensed by the Operator are protected by applicable intellectual property laws.
Except for the rights expressly granted to you under these Terms, no ownership or intellectual property rights are transferred to you. You may not reproduce, distribute, modify, sell, or commercially exploit protected platform materials without authorization, except where permitted by law.
The Operator’s collection and use of personal information are governed by the platform’s Privacy and Cookie Policy, which should be read together with these Terms.
You are responsible for ensuring that you have the necessary authority or lawful basis to enter personal information about customers, employees, suppliers, and other individuals into the platform. You must handle such information in accordance with applicable data protection and privacy laws.
The Operator may suspend or restrict access where reasonably necessary to address suspected fraud, unlawful activity, security threats, material breaches of these Terms, non-payment, or risks to the platform or its users.
You may stop using the platform and cancel your subscription through the available account settings or by contacting customer support, subject to any applicable subscription terms.
The Operator may terminate access for a material or repeated breach of these Terms, or where continued provision of the services becomes unlawful or impracticable. Where appropriate and legally permissible, notice or an opportunity to remedy the breach may be provided.
Following suspension or termination, access to certain features or stored data may be restricted. You should export important business records before your account closes. Any outstanding payment obligations and provisions that by their nature should continue will survive termination.
To the extent permitted by law, the platform is provided on an “as available” basis. The Operator does not guarantee that the platform will always be uninterrupted, error-free, compatible with every device, or suitable for every business requirement.
The platform provides tools for recording, organizing, and analyzing business information. It does not guarantee business profitability, stock accuracy, tax compliance, or the prevention of fraud, theft, or human error.
To the maximum extent permitted by applicable law, the Operator will not be liable for indirect, incidental, special, or consequential losses arising from the use of, or inability to use, the platform, including loss of profits, business interruption, or loss of data.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law. Any other limitation of liability will apply only to the extent permitted by law.
To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, and reasonable costs arising from your unlawful use of the platform, your breach of these Terms, your infringement of another person’s rights, or your failure to obtain necessary permissions for information you submit.
This provision does not apply to the extent a claim results from conduct for which the Operator is legally responsible.
The Operator may update these Terms from time to time to reflect changes in the platform, business operations, security practices, or legal requirements. The revised version will be published with an updated “Last Updated” date.
Where required by law, or where a change materially affects your rights or obligations, reasonable notice will be provided. Continued use of the platform after revised Terms take effect constitutes acceptance where such acceptance is legally valid.
These Terms are subject to the laws of [Insert Applicable Jurisdiction], without prejudice to any mandatory legal protections that apply to users.
If a dispute arises, the parties should first attempt to resolve it through good-faith discussions or the platform’s customer support channel. If the dispute cannot be resolved informally, it may be referred to the competent courts or another dispute resolution mechanism permitted by applicable law.
These Terms, together with the applicable Privacy and Cookie Policy and any additional terms presented for specific services, constitute the agreement governing your use of the platform.
If any provision is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay in enforcing a provision does not constitute a waiver of the right to enforce it later.
You may not transfer your rights or obligations under these Terms without the Operator’s consent, except where permitted by law. The Operator may transfer its rights and obligations as part of a lawful business restructuring or transfer, subject to applicable legal requirements.
The Operator will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, widespread network failures, government actions, power outages, or major third-party infrastructure disruptions.
